1. Acceptance of Terms
These Terms & Conditions ("Terms") govern your use of the website located at this domain (the "Site") and any consulting or software development services (the "Services") provided by Arsha Technologies, Inc. ("Arsha Technologies," "we," "us," or "our"). By accessing the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.
2. Description of Services
Arsha Technologies, Inc. provides software consulting services specializing in the design, development, and integration of AI agents and intelligent automation solutions, including but not limited to custom AI agent development, multi-agent systems, AI workflow automation, large language model (LLM) integration, conversational AI solutions, API and enterprise system integrations, and custom software development.
The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate written proposal, statement of work, or services agreement between Arsha Technologies, Inc. and the client, which will govern in the event of any conflict with these general Terms.
3. Client Portal Demo
The "Client Portal" page on this Site is a demonstration only. It uses sample, non-real data to illustrate the type of dashboard experience a client engagement may include. It does not represent an actual client account, does not transmit any information you enter, and any "login" is accepted for demonstration purposes only.
4. Fees & Payment
Fees for Services are set out in the applicable proposal or services agreement. Unless otherwise agreed in writing, invoices are due upon the terms stated on the invoice. Late payments may result in suspension of ongoing work.
5. Intellectual Property
Unless otherwise specified in a signed services agreement, upon full payment for a given engagement, ownership of custom deliverables created specifically for the client transfers to the client. Arsha Technologies, Inc. retains ownership of its own pre-existing tools, frameworks, methodologies, and general know-how, and may reuse non-client-specific components across engagements.
6. Confidentiality
Each party agrees to keep confidential any non-public business, technical, or client information disclosed during an engagement, and to use it only for the purposes of that engagement, except as required by law or as otherwise agreed in writing (including any mutual non-disclosure agreement executed between the parties).
7. Third-Party AI & Software Services
Our Services may involve integrating third-party large language models, cloud platforms, or other software services. We select reputable providers, but we do not control and are not responsible for the availability, performance, or terms of third-party services. Client data processed through third-party AI providers is subject to that provider's own terms, and specific data-handling arrangements for a given engagement are addressed in the applicable services agreement.
8. Warranties & Disclaimers
Except as expressly stated in a signed services agreement, the Site and any general information provided on it are offered "as is" without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose. AI-powered systems, including agents we design and build, may produce imperfect or unexpected results; we work to test and mitigate this, but cannot guarantee error-free operation.
9. Limitation of Liability
To the fullest extent permitted by law, Arsha Technologies, Inc. shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the Site or Services, except as otherwise agreed in a signed services agreement. Our total liability for any claim arising from a specific engagement is limited to the fees paid for that engagement, unless otherwise agreed in writing.
10. Termination
Either party may terminate an ongoing engagement in accordance with the terms of the applicable services agreement. Fees for work performed prior to termination remain due.
11. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, and any disputes shall be resolved in the state or federal courts located in Dallas County, Texas, unless otherwise agreed in a signed services agreement.
12. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.
